For years, legal departments viewed artificial intelligence (AI) as an emerging technology issue. That era is over. Regulators are increasingly signaling that AI system governance is a matter of legal compliance, especially when these systems make consequential decisions about people’s lives, rights, or livelihoods.

In-house counsel, particularly those in privacy, risk, and compliance roles, must now directly engage with AI system acquisition, deployment, and monitoring. The rise of binding obligations, not just aspirational guidelines, makes treating AI governance as a core legal function critical. This shift is driven not only by new regulations but also by increased public scrutiny, high-profile incidents of algorithmic bias, and AI’s proliferation across industries.

From Principles to Policies: A Shift in Regulatory Posture

Until recently, most corporate AI initiatives relied on voluntary ethics frameworks. Today, a clear shift from soft law to hard law is underway. While ethical principles remain foundational, they are increasingly codified into enforceable legal obligations.

AI governance in a legal context now includes:

  • Ongoing impact and risk assessments: Mirroring DPIAs/PIAs, these must identify and evaluate risks of algorithmic discrimination, privacy breaches, and potential harm.
  • Defined human oversight mechanisms: Requiring meaningful human review and intervention for high-risk systems or consequential decisions.
  • Transparency obligations to individuals: Providing clear information on AI use, impact, and recourse.
  • Controls over training data and algorithmic bias: Understanding data provenance, quality, and bias mitigation methods.
  • Vendor accountability through contract and audit: Explicitly addressing AI governance, security, bias mitigation, and liability in vendor contracts.

A growing body of law confirms that AI compliance obligations are no longer hypothetical.

Understanding “Consequential Decisions”

The concept of “consequential decisions” is central to many emerging AI regulations, particularly in the United States. It refers to a decision that has a material legal or similarly significant effect on an individual’s fundamental rights, access to opportunities, or livelihoods. This terminology is intentionally broad to capture a range of impacts without being overly prescriptive about specific technologies.

Examples of domains where AI-driven consequential decisions are typically regulated include:

  • Employment: Hiring, promotion, termination, compensation.
  • Housing: Access to housing, rental, or mortgage approvals.
  • Education: Admissions, scholarships, academic performance.
  • Financial Services: Credit, loans, investment opportunities.
  • Healthcare: Diagnoses, treatment plans, access to services.

The importance of this term lies in its focus on the impact of the AI system, rather than just its technical complexity. Regulations are concerned with whether an AI’s output can significantly alter an individual’s life trajectory.

The EU AI Act

The EU AI Act, with its final text published on July 12, 2024, and effective from August 1, 2024, classifies AI systems into risk-based tiers. It imposes stringent requirements on “high-risk” systems, including conformity assessments, transparency, human oversight, and post-market monitoring. Its phased application continues into 2026.

The Act has broad extraterritorial reach, impacting non-EU entities if their AI systems are placed on the EU market or their output is used in the EU. Penalties are severe, reaching up to €35 million or 7% of global annual turnover, whichever is higher.

Colorado’s Artificial Intelligence Act

Signed into law on May 17, 2024, and effective February 1, 2026, Colorado’s AI Act is the most comprehensive state-level AI regulation in the U.S. It targets AI systems that make or meaningfully influence “consequential decisions.”

Entities using such systems must:

  • Conduct documented impact assessments.
  • Implement reasonable risk mitigation measures.
  • Provide notice to affected individuals.

The Act introduces a “duty of reasonable care” on developers and deployers to protect consumers from foreseeable risks of algorithmic discrimination. Exemptions exist for narrow procedural tasks or systems merely supporting human judgment. The Colorado Attorney General has exclusive enforcement authority, and violations are deemed unfair trade practices. An affirmative defense is available if a deployer remedies a violation and complies with the latest NIST AI Risk Management Framework.

U.S. Federal Agency Activity

Federal regulators are also active:

  • The FTC warns that deploying AI tools without adequate safeguards, particularly around bias or accuracy, may constitute unfair or deceptive practices under Section 5 of the FTC Act. They also caution against “AI washing” and illegal commercial surveillance via AI.
  • The EEOC and DOJ emphasize that automated employment decision tools must comply with Title VII and the ADA. The EEOC has brought enforcement actions, such as EEOC v. iTutorGroup, Inc. (settled 2023), concerning AI-driven age discrimination in hiring.

Legal departments and privacy professionals must recognize that AI use now carries regulatory weight. Proactive steps include:

  • Inventory AI systems across departments to understand where automated decision-making occurs.
  • Assess use cases for potential legal exposure, particularly those affecting access to jobs, housing, credit, healthcare, or education.
  • Embed legal oversight into AI procurement and development processes, including robust contract provisions and vendor questionnaires.
  • Update privacy and compliance documentation to include AI-specific risks and transparent disclosures.
  • Develop cross-functional AI governance teams with legal, data, compliance, and operational leads.
  • Ensure explainability and recourse mechanisms are available for affected individuals, especially where legally required.
